Acceptance of the Terms of Use

By using the Website, you agree to abide by and be bound by these Terms of Use and the Privacy policy. OMC Medical and its subsidiaries (collectively referred to herein as “OMC”). These Terms of Use govern your access and use of www.omcmedical.com and other websites published by OMC and all content therein (collectively, the “Website”), OMC may revise and update these Terms of Use from time to time, and any changes are effective immediately upon publication date.

Acceptance of the Terms of service

Terms of service will be provided separately upon the type of service provided availed by OMC. The Term of service is governed by a separate service agreement.

If no such agreement is in place, the below agreement will be applied.

By using any of the Services, you agree to these General Terms and any policies referenced within.  including our Privacy policy and terms that limit our liability and require individual arbitration for any potential legal dispute, which are collectively incorporated herein by reference. You also agree to any additional terms specific to Services you use which become part of your agreement with us. If you are using the Services on behalf of a business, you represent to us that you have authority to bind that business or entity to these Terms, and that business accepts these Terms. You should read all of our Terms carefully.

Payment Terms

All services and products provided by OMC shall remain OMC’s property until invoices are fully settled by the user.

Our general payment terms are 50% before start of the service and 50% after completion, which the number of days of payment shall be agreed with the client unless stated in Invoice.

Failure to pay within the time limit stipulated in our invoice we require may charge additional late payment fees in accordance to the terms below.

Late Payment fee:

Failure to pay within due date stated in the invoice, shall incur late payment fees as below. (According to UK commercial regulations)

  • The interest you can charge if another business is late paying for goods or a service is ‘statutory interest’ – this is 8% plus the Bank of England base rate for business to business transactions. 

Permitted and Prohibited Uses

The Website may be used for general informational purposes by current or prospective clients of OMC in connection with a contemplated engagement of OMC (which engagement would be subject to separate terms or contracts). The Website also may be used for limited non-commercial uses, for academic purposes, or as may be additionally permitted in writing by an officer of OMC. If you wish to request permission to use any material on the Website for any additional purpose or are not sure whether your intended use of content is permitted, please email us. In connection with the permitted uses, you may download a reasonable number of files made available for download on the Website. OMC will not be responsible for our content shared through third party via email or any other means as this may be subjected to bugs. OMC advise its users to directly download information from our websites to avoid this issue.

The website content should not be distributed or reproduced other than for conditions stipulated above; Published, sold, or modified benefit of any commercial enterprise or individual that offers services in any of the same areas as OMC, or for any other purpose that may be adverse to OMC; Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this Website; Delete, crop, or otherwise modify the OMC logo or name from copies of any materials from the Website; Copy or record any content on the Website using automated programs, bots, software, or any other method of “scraping” content; Use any “Pinger,” bots, or automated tools to communicate with our Website/s; Alter or interfere with the Website’s code or the front-end appearance of the Website; Take any action that imposes an unreasonable or disproportionately large load on the Website or related infrastructure; Obtain or attempt to obtain unauthorized access to any of OMC’s networks, through any means; Submit spam inquiries to our website contact forms, or;

Intellectual Property Rights

The Website and its entire contents, features, and functionality (including but not limited to the OMC name, the OMC logo, all information, text, displays, images, graphics, video and audio presentations, reports, blogs, articles, newsletters, guides, charts, white papers, and their design and arrangement), are owned by OMC or its licensors, and are protected by international copyright, trademark, trade secret and other intellectual property or proprietary rights laws.

Any services provided by OMC will retain OMC’s IP unless and otherwise the charges/invoice for the services provided by OMC is paid in full.

Linking to the Website

You may not present a link in such a way as to suggest any form of formal association with OMC or any approval or endorsement by OMC without written permission to do so.

Links provided by third party website or content without prior consent from OMC, will not be governed by OMC.

Right to Monitor and Editorial ControlOMC reserves the right, but does not have an obligation, to monitor and/or review all to the Web Site or through the Web Site’s services or features by users, and OMC is not responsible for any such materials posted by its users. However, OMC reserves the right at all times to disclose any information as necessary to satisfy any law, regulation or government request, or to edit, refuse to post or to remove any information or materials, in whole or in part, that in OMC’s sole discretion are objectionable or in violation of this Terms of Use, OMC’s policies or applicable law. General Terms

OMC may bring suit against any individual or entity for violation of these Terms of Use in the English court or in the jurisdiction of the defendant. You waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts for such actions. In the event OMC files a suit for violation of these Terms of Use (which may be in conjunction with other claims) which results in a finding that the defending party violated the Terms of Use, the defending party will be responsible for OMC”s legal fees, costs, and expenses incurred in connection with the action, in addition to any and all damages awarded to OMC.

Any legal action or proceeding against OMC or its representatives in any way related to the Website, these Terms of Use, or the Privacy Policy must be instituted exclusively by the English courts located in United Kingdom.

These Terms of Use are governed by and shall be construed in accordance with the laws of in United Kingdom.

Any failure by OMC to assert a right or provision under these Terms of Use shall not constitute a general waiver of such right or provision.

If a tribunal of competent jurisdiction finds any provision of these Terms of Use invalid or unenforceable, such provision shall be reformed to the minimal extent necessary to preserve its intent and render it valid and enforceable, and if reformation is not practicable, the invalid provision shall be severed, and the balance of the Terms of Use shall remain enforceable to the full extent permitted by law.
